OUR SERVICE

Our service is available through Bee Carry Go Logistics, where we offer quicker, simpler, and easier ways to have your goods picked up and delivered to the location(s) of your choice. During the Bee Carry Go Logistics registration procedure, we give you all the information you need to use the Service, including instructions on how to navigate it. The services offered by Bee Carry Go Logistics encompass, but not limited to, delivery services, pick-up and drop-off services, a marketplace that links you with merchants, and selective purchases. You can rate, review, and comment on Bee Carry Go Logistics’ services as well as provide feedback. Same Day Delivery and Immediate Delivery are the two categories of delivery choices.

YOUR SERVICE PROVIDER

Our service is available through Bee Carry Go Logistics, where we offer quicker, simpler, and easier ways to have your goods picked up and delivered to the location(s) of your choice. During your registration process with Bee Carry Go Logistics, we give you all the information you need to use the Service, including instructions on how to navigate it. Delivery services, pick-up and drop-off services, a marketplace that links you with merchants, and selective purchases made through Bee Carry Go Logistics are all included in the service. You may also rate, comment, and post reviews and feedback on Bee Carry Go Logistics’ services. There are two categories of delivery options: Same Day Delivery and Immediate Delivery.

APPLICABLE TERMS

These Terms (and any changes thereof) constitute a legally binding agreement (the “Agreement”) between you and Bee Carry Go.

This Agreement governs your use of “Bee Carry Go Logistics.” By accessing and using Bee Carry Go Logistics and its Services within the designated Territory, you agree to be bound by this Agreement, forming a contractual relationship between you and Bee Carry Go. Bee Carry Go reserves the right to terminate this Agreement with you, or to discontinue or restrict access to Bee Carry Go Logistics, its Services, or any part thereof, at any time and for any reason without notice. Additional terms may apply to specific Services (as defined below), such as policies for specific events, loyalty programs, activities, or promotions. These additional terms will be disclosed to you in relation to the applicable Services and will be considered part of this Agreement. In the event of a conflict, the supplemental terms will take precedence over this Agreement for the relevant Services.

PLEASE READ THIS AGREEMENT CAREFULLY AND MAKE SURE YOU UNDERSTAND IT BEFORE DOWNLOADING, ACCESSING OR USING BEE CARRY GO LOGISTICS. IF YOU DO NOT UNDERSTAND THIS AGREEMENT, OR AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, OR DO NOT ACCEPT ANY PART OF IT, YOU MAY NOT DOWNLOAD, USE OR ACCESS BEE CARRY GO LOGISTICS. BY DOWNLOADING BEE CARRY GO LOGISTICS AND USING THE SERVICE, YOU AGREE TO ABIDE BY THE AGREEMENT AND ANY UPDATES MADE TO THE AGREEMENT AS COMMUNICATED TO YOU FROM TIME TO TIME VIA YOUR REGISTERED USER ACCOUNT ON BEE CARRY GO LOGISTICS.

ABOUT THIS AGREEMENT

Changing this Agreement: We may change this Agreement, for example, to reflect changes to our Service or how we do business- for example,

(1) when we add new products or features or remove old ones,

(2) for legal, regulatory, or security reasons,

or

(3) to prevent abuse or harm.

If we materially change this Agreement, we’ll provide you with reasonable advance notice as stated in these Terms and the opportunity to review the changes,

except

(1) when we launch a new product or feature,

or

(2) in an emergency, like stopping ongoing abuse or meeting legal obligations. You should remove Bee Carry Go Logistics from your devices and discontinue using the Service if you disagree with the updated terms.

Suspension of this Contract: The sections “Other Legal Terms” and “About This Agreement” will still apply to you if your use of the Service terminates, regardless of whether you remove Bee Carry Go Logistics from your devices.

WHO MAY USE THE SERVICE?

Through Bee Carry Go Logistics, any User may make use of this Service. Any one of the following can be a user:

Individuals/Users: You may use our service if you are a natural person with legal status and have reached the age of eighteen. By downloading Bee Carry Go Logistics, you give us permission to access and use your data for our own use as well as the use of our service by any third party or business.

Businesses-Users: You must be a properly incorporated business, partnership, or organization with the required licenses to carry out its operations and the policies and procedures to process, store, and share Data if you are collecting Data of your clients or individuals using your services if you are using the Service as an artificial person. You certify to us that your business has the legal right to act through its representatives and that it has approved this agreement.

 If Bee Carry Go suspends or blocks your account from accessing Bee Carry Go Logistics for any reason, you are not eligible to utilize our service.

REQUIREMENTS

Individual KYC: After successfully completing the initial onboarding phase and supplying us with all of your personal data on our know-your-customer diligence questionnaire during the Bee Carry Go Logistics user registration procedure, you are eligible to utilize the Service.

Corporate KYC: If you have submitted to us all of the information requested in our know-your-customer diligence questionnaire during your user registration process through Bee Carry Go Logistics, and you possess all of your incorporation documents and any licenses necessary to carry out any activities you advertise to provide, then you are free to use the Service.

Devices: By registering for this service, you agree to provide compatible devices with the ability to download the version(s) of the Super App that may occasionally be needed for the service to function properly.

Goods: Bee Carry Go Logistics will notify you about the items and dimensions of the acceptable products as well as all forbidden products during the registration process for this service. If the goods are not packaged according to Bee Carry Go Logistics’ standard criteria, you will be responsible for any damage incurred. You must package the good(s) in the proper sealed containers or boxes. Food and perishables are not allowed on the service unless they comply with the regulations.

Material Information: During and after registering on Bee Carry Go Logistics, you agree to promptly provide any and all material information and documents relating to the Data (or any applicable questionnaire) that may occasionally be needed to determine your status and eligibility to use this Service, update your Data, or confirm your identity.

THE SERVICE

MAIN HIGHLIGHTS

Overview:

A digital network called Bee Carry Go Logistics serves as a marketplace for users looking for the delivery of goods, products, and/or logistics services (referred to as “Services”) from any location or from the location of connected or unconnected third-party companies (referred to as “Merchants”) or individuals. Users are then matched with individuals who can provide the Services, such as drivers (“Riders”) or third-party companies (“Merchant Partners”). We are going to partner with Riders and Merchant Partners within our network to guarantee that the services they offer meet the necessary requirements and meet our expectations for quality of service. By using the Bee Carry Go Logistics, you will be able to initiate Pick-Up and Drop Off service

Bee Carry Go Logistics is a logistics company, not a catering service, and does not produce or package meals and perishables. We partner with independent restaurants and caterers to deliver prepared meals and perishables. Bee Carry Go Logistics is not responsible for the condition of meals or perishables upon arrival at the drop-off location. Users who opt for meal and perishable delivery do so at their own risk and must indemnify Bee Carry Go Logistics against any liability. We advise against using our service for meal and perishable delivery, but if you do, you acknowledge that Bee Carry Go Logistics is not liable for any damage or deterioration. Any issues with meal quality or condition should be directed to the merchant or restaurant partner, as they are responsible for the preparation and packaging of meals and perishables. Our liability is limited to non-delivery of meals and perishables, as specified in our limitation of liability provision.

Order via Merchants: When ordering goods or services through the Bee Carry Go Logistics app or directly from a Merchant, please note that the preparation, provision, and fulfillment of such goods or services are the sole responsibility of the independent Merchant Partner. Before accepting your order, you will be required to review and confirm the goods through an image shared by our Service personnel. This shared image and your confirmation will serve as evidence in case of any disputes related to your order. If the shared image does not match your ordered goods, please notify the assigned Service personnel immediately and request the correct image. By confirming the image, you acknowledge that you accept the goods as shown, even if they differ from your original order. This confirmation will be considered a deemed acceptance of the modified or different goods.

Location Tracking: Bee Carry Go Logistics collects and uses your location-based information through GPS technology when you request a service through the app. This information is used to provide and facilitate the services you request and to improve the quality of our services. Your geo-location information is necessary to initiate any service on the app. By using our services, you acknowledge and agree to the collection and use of your geo-location information. You consent to the monitoring and tracking of your geo-location information. Bee Carry Go Logistics may share your geo-location information with merchants and third-party providers to facilitate the provision of services to you.

Timings: We provide accurate timings for pick-up and drop-off services through the Bee Carry Go Logistics app. We aim to meet the indicated times, and in any case, will not be later than 10 minutes beyond the communicated time. If there are any delays, we will communicate them to you in real-time through the app. You will enjoy a certain amount of free waiting time, as indicated in the app, and any additional waiting time beyond this will be charged and added to the final Bee Carry Go Logistics fee

Modification of Service: Bee Carry Go reserves the right, at any moment and from time to time, to alter or terminate, either permanently or temporarily, the Service (or any portion of it), with or without prior notice. You acknowledge that Bee Carry Go will not be responsible for any changes, halts, or cancellations of the Service, either to you or to any third party.

SERVICE TERMS AND CONDITIONS:

The following terms govern how you use the service:

– Eligibility: You must be able to form contracts lawfully and not be prohibited from using our service by any applicable laws in order to be eligible.

– Account Security: It is your responsibility to keep the details associated with your account private and safe.

– Compliance: When using the Service, you must abide by all applicable laws, rules, and regulations.

– Restrictions: You may not attempt to access the Service by any means other than through the interfaces and instructions we offer, nor may you abuse it by interfering with its regular operation.

USER ACCOUNTS

ACCOUNT REGISTRATION

You must create and keep an active personal user account (hence, “Account”) in order to use the majority of the Service. You must provide Bee Carry Go with specific personal information when creating an account, including your name, address, phone number, and age. You must also provide at least one working payment method (a credit card or other approved payment partner). You pledge to keep the information in your Account true, full, and up to date. You might not be able to access or use the Services if you don’t keep your Account information true, full, and up to date—this includes not having an expired or invalid payment method on file.

Account Responsibilities: You agree to protect the confidentiality of your username and password at all times, and you are accountable for all actions taken under your account. You may only have one Account, unless Bee Carry Go specifically permits you to have more.

Suspension and Termination of Account: Bee Carry Go retains the right to suspend or terminate your account in the event that you breach any of the terms of this agreement or engage in any activity that Bee Carry Go deems detrimental to its reputation or business interests.

FOR PICK UP AND DROP OFF SERVICES ONLY

With the Pick Up and Drop Off service, you can send packages from one location to another within the designated territory. Bee Carry Go Logistics directly provides these services, and you will need to supply all necessary information, including personal data, through the Bee Carry Go Logistics app. At the time of placing your order, you will choose your preferred delivery option: either Immediate Delivery or Same Day Delivery. When you choose Immediate Delivery, Bee Carry Go Logistics will assign a rider to pick up your package and deliver it directly to the specified location without making any other stops. The costs for this service can be found in the Rates Section of the app. If you select Same Day Delivery, the rider can pick up your package and deliver it by the end of the same day, with the possibility of picking up other packages along the way.

By using the Bee Carry Go Logistics app, you acknowledge and agree that the personal and location details you provide are given voluntarily and will be used in accordance with the Privacy Policy. Requests involving restricted or prohibited items will not be fulfilled and may result in account cancellation. You are responsible for ensuring that the contents of your package are legal and compliant with transportation regulations. Prohibited items include, but are not limited to, radioactive, incendiary, corrosive or flammable substances, hazardous chemicals, explosives, firearms or parts thereof, ammunition, firecrackers, cyanides, precipitates, gold and silver ore, bullion, precious metals and stones, jewelry, semi-precious stones, currency, securities, coupons, stamps, negotiable instruments, cashier’s cheques, travellers’ cheques, money orders, passports, credit/debit/ATM cards, antiques, works of art, lottery tickets, gambling devices, livestock, fish, insects, animals, plants, human corpses, organs or body parts, blood, urine, liquid diagnostic specimens, hazardous or bio-medical waste, wet ice, pornographic materials, contraband, bottled alcoholic beverages, narcotics, psychotropic substances, or any other item requiring specific authorization under applicable laws.

If the pickup or drop-off locations are incorrect or changed, additional fees will apply, as detailed in the Rates Section of the app.

Bee Carry Go Logistics reserves the right to report any illegal activities discovered through the use of our service to the relevant law enforcement authorities without further notice.

RATINGS

  1. a) Upon completion of a Service through the Bee Carry Go Logistics app, you will be asked to provide a rating and feedback regarding the Service received. Additionally, the service personnel may also be prompted to rate you. The rating given by the service personnel will contribute to your overall rating score, which will be displayed on your account in the Bee Carry Go Logistics app.
  2. b) Bee Carry Go Logistics and its affiliates retain the right to use, share, and display these ratings and comments in any manner related to their business activities, without requiring your approval or attribution. By using the service, you consent to this use. Bee Carry Go Logistics and its affiliates also reserve the right to edit or remove comments that contain obscenities, objectionable content, personal information, or that violate privacy laws, other applicable laws, or the content policies of Bee Carry Go Logistics and its affiliates.

DISCLAIMER

Materials posted on the Bee Carry Go Logistics app are not intended to constitute advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to the Bee Carry Go Logistics app, or by anyone who may be informed of any of its contents.

REVISIONS

We shall update the Bee Carry Go Logistics app regularly and may change the content at any time. If the need arises, we may suspend access to the Bee Carry Go Logistics app and the Services or close them indefinitely. Any of the material on the Bee Carry Go Logistics app or the Services may be out of date at any given time, and we are under no obligation to update such material elsewhere except in this Agreement.

 

ACKNOWLEDGEMENT

YOU ACKNOWLEDGE THAT NEITHER BEE CARRY GO LOGISTICS NOR ITS AFFILIATES DIRECTLY PROVIDE TRANSPORTATION, GOODS, OR LOGISTICS SERVICES OR FUNCTION AS A TRANSPORTATION, GOODS, OR LOGISTICS CARRIER OR A TRANSPORTATION, GOODS, OR LOGISTICS SERVICE PROVIDER, OR OWN ANY VEHICLES FOR TRANSPORTATION, GOODS, OR LOGISTICS, AND THAT ALL SUCH SERVICES ARE PROVIDED BY INDEPENDENT THIRD-PARTY CONTRACTORS WHO ARE NOT EMPLOYED BY BEE CARRY GO LOGISTICS OR ANY OF ITS AFFILIATES.

 

 

BEE CARRY GO LOGISTICS APP OWNERSHIP

The Bee Carry Go Logistics app and all rights therein are and shall remain the property of Bee Carry Go Logistics or the property of Bee Carry Go Logistics’ licensors. Neither this Agreement nor your use of the Bee Carry Go Logistics app convey or grant to you any rights: (i) in or related to the Bee Carry Go Logistics app except for the limited license granted below; or (ii) to use or reference in any manner Bee Carry Go Logistics’ company names, logos, product and service names, trademarks, or service marks, or those of Bee Carry Go Logistics’ licensors.

LICENSE

Subject to your compliance with this Agreement, Bee Carry Go Logistics grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license to: (i) access and use the Bee Carry Go Logistics app on your personal device solely in connection with your use of the Bee Carry Go Logistics app; and (ii) access and use any content, information, and related materials that may be made available through the Bee Carry Go Logistics app, in each case solely for your personal, non-commercial use. Any rights not expressly granted herein are reserved by Bee Carry Go Logistics and Bee Carry Go Logistics’ licensors.

PROVISION OF THE SERVICES

You recognize that Bee Carry Go Logistics offers its Services through various request options, including transportation and logistics brands. These Services may be provided directly by Bee Carry Go Logistics, its Affiliates, or through independent third-party contractors, such as transportation network company drivers or licensed professionals. Bee Carry Go Logistics has the discretion to determine which request options and brands are available to you.

ABOUT SOFTWARE IN OUR SERVICE

Bee Carry Go Logistics will use reasonable efforts to maintain the Service with minimal errors and interruptions, perform services professionally, and promptly correct any defects. The Service may be temporarily unavailable for scheduled or unscheduled maintenance, but Bee Carry Go Logistics will provide advance notice of scheduled disruptions whenever possible. While Bee Carry Go Logistics does not guarantee an uninterrupted or error-free Service, it warrants the functionality of the Solution as described in its product document. No warranty is made regarding the results obtained from using the services. The services are provided “as is,” and Bee Carry Go Logistics disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, except as stated in this section

 

 

 

SERVICE DESCRIPTION

 

OUR CONDUCT (USERS)

 

You will receive access to your User account on the Bee Carry Go Logistics app as part of the registration process. With your account, you can:

  1. a) After creating an account on the Bee Carry Go Logistics app, you can request any of our services.
  2. b) Make requests for any of our services using your account on behalf of a third party, as long as you are the one who made the initial request and bear full financial responsibility for Bee Carry Go Logistics.

 

The following promises are given to all users on the Bee Carry Go Logistics platform:

  1. a) Any difficulties pertaining to maintenance shall be promptly communicated and resolved.
  2. b) Without interaction with Users, we shall autonomously administer and control the Bee Carry Go Logistics platform, including any linked third-party services or software, at our sole discretion.
  3. c) All facets of the Bee Carry Go Logistics platform will be governed by rules and processes that we create and implement.
  4. d) Any modifications and improvements we make to the Bee Carry Go Logistics platform will be applied prospectively and will only be made after giving you written notice (via email or push notification) before the changes become effective.

RATES

  1. All eligible Users may download the Bee Carry Go Logistics app for free. Through the Bee Carry Go Logistics app, users will be able to see the precise cost of the services they have chosen. Charges for the services they have actually ordered will be charged to their account on the app. Bee Carry Go Logistics Fees comprise waiting hours and charges for goods stored in our offices or collection centers as a result of delivery location modifications or erroneous addresses.
  2. In exchange for the Services, you, the User, agree to pay Bee Carry Go Logistics any fees (the “Bee Carry Go Logistics Fee”) and all other amounts (“Charges”) that Merchants and other independent third-party providers charge you for the Services. You agree to pay the applicable Merchant or independent third-party provider directly.
     
     
  3. Bee Carry Go Transportation Where required by law, applicable taxes such as sales tax or VAT will be included in the fees. Unless otherwise specified by Bee Carry Go Logistics or the appropriate staff member delivering the Service to you, all fees paid to Bee Carry Go Logistics are final and non-refundable.
  4. All Bee Carry Go Logistics fees are expected immediately, and Bee Carry Go Logistics will handle payment using the preferred payment option specified in your account. You might receive an email receipt from Bee Carry Go Logistics (which is not the same as a tax invoice). You consent to Bee Carry Go Logistics using a secondary payment method in your account, if available, in the event that your primary payment method is no longer valid, expired, or unable to be charged.
  5. As between you and Bee Carry Go Logistics, Bee Carry Go Logistics maintains the right, in its sole discretion, to create, remove, and/or amend Bee Carry Go Logistics Fees at any time. Additionally, fees are subject to change or revision at any time without your permission. Furthermore, you understand and accept that during times of strong demand, Charges and Bee Carry Go Logistics Fees that apply in specific geographic locations may increase dramatically. You are responsible for Charges and Bee Carry Go Logistics Fees incurred under your Account regardless of your awareness of such Charges or Bee Carry Go Logistics Fees, or the amounts thereof. Bee Carry Go Logistics will use reasonable efforts to notify you of applicable Charges and Bee Carry Go Logistics Fees.
  6. All Other Charges Are Your Responsibility: Any fees or other sums assessed by third parties, including payment gateways and any other applications needed to use the Service, are your responsibility (Other Charges). When necessary, you may pay these additional charges using your user account on the Bee Carry Go Logistics app.

 

 

RATES TERMS

  1. a) At the time-of-service request or, if the user chooses, at the point of delivery, all fees are paid in Nigerian Naira.
  2. b) On your User account on the Bee Carry Go Logistics App, you will be able to review all transactions for billing and reconciliation purposes. When assessing the legitimacy of transactions, you have made, the record on your user account will be the final source of evidence.

 

PAYMENT FOR SERVICES

You may utilize any of the payment options listed on the Bee Carry Go Logistics platform as part of your User Account (each referred to as a “Payment Method”). Before use any Service, a Payment Method must be added. By following the guidelines on the Bee Carry Go Logistics platform, you might also be able to add more payment options. The Bee Carry Go Logistics platform accepts cash, wallets, cards, and any other payment mechanism that is accessible.

 

By choosing a specific Payment Method, you understand and accept that the financial institution or payment service provider that provided your chosen Payment Method as well as the terms of service of Bee Carry Go Logistics’ payment processing partners apply. You also agree that, in connection with the Payment Method you have chosen, you will be responsible for any charges or fees levied by these payment processing partners or financial institutions.
 
 Bee Carry At its sole discretion, Go Logistics retains the right to reject requests to add Payment Methods, even in cases were doing so would be against the platform’s policies or relevant legal requirements.

 

You can be charged extra foreign exchange fees and rates if you use a card that isn’t worth the amount in which the relevant services are paid to pay for the services. Bee Carry Go Logistics is unable to give prior notification of such fees and takes no responsible for them.

 

By using the Bee Carry Go Logistics platform to pay for services related to purchases you made from a merchant, you understand and consent that Bee Carry Go Logistics is not receiving any money deposits. If Bee Carry Go Logistics reimburses your transaction fees for any reason, it may retain the money you sent it in a facility or with a third party, and it may use it for its own purposes without keeping the same amount of cash or other assets for you. The contractual obligation of Bee Carry Go Logistics to furnish an equivalent amount for your use in connection with the Services is the extent of your rights with respect to any such money. Refunds will be applied to your Bee Carry Go Logistics wallet.

OBLIGATIONS FOR INFORMATION PROTECTION 
 The following provisions comply with the requirements of the current legal framework in relation to data processing on the protection of natural persons with regard to the processing of Data and on the free movement of such Data. Our obligations imply the processing of Data as a data processor and a data processor of Businesses on your behalf as a Data Controller. As per the current Nigeria Data Protection Act (NDPA), the terms “Agency”, “Controller”, “Data Subject”, “Personal Data”, “Personal Data Breach”, “Process” and “Processing” would be interpreted in accordance with their respective meanings.

PROCESSING OF YOUR INFORMATION
 We will:

  1. a) process and store data in accordance with all applicable data protection laws; and
  2. b) only process data in accordance with your approval of these terms.
    By using our Service, you give us permission to handle your Data in order to provide the features of the Service, as well as any Businesses that are connected with it.

OUR PERSONNEL

In the event that any employee, agent, or contractor of another contracted processor has access to your data, we will take reasonable steps to verify their dependability. We will make sure that access is strictly restricted to those individuals who require the relevant data in order to provide the service and to comply with applicable laws regarding their duties to us, any business, or other contracted processor. Additionally, we will make sure that all of these parties are bound by professional or statutory obligations of confidentiality as well as confidentiality undertakings.

SECURITY

We shall, with regard to the Data, implement appropriate organizational and technical measures to ensure a level of security commensurate with the risk, taking into account the state of the art, the costs of implementation, and the nature, scope, context, and purposes of processing, in addition to the risk of varying likelihood and severity for the rights and freedoms of natural persons. We will consider the risks associated with processing, particularly those arising from a Personal Data Breach, when determining the proper level of protection.

SUB PROCESSING

If we don’t have your permission or are compelled to, we won’t designate any Sub processors or reveal any Data to them. By using this service, you agree that we may share your data with businesses as needed to utilize it, or you may designate third parties that we need to work with in order to provide the service, and you hereby give us permission to reveal such data.

DATA SUBJECT RIGHTS

Considering the nature of the Processing, we shall assist Businesses and Sub processors by implementing appropriate technical and organizational measures, insofar as this is possible, for the fulfilment of your obligations, as communicated by you, to respond to requests to exercise Data Subject rights under the Data Protection Laws.

We shall:

  1. a)    promptly notify any Business if we receive a request from a Data Subject under any Data Protection Law in respect of Data; and
  2. b)   ensure that we do not respond to that request except on the documented instructions from you or as required by Applicable Laws to which we are subject, in which case we shall to the extent permitted by Applicable Laws inform you of that legal requirement before we respond to the request.

PERSONAL DATA BREACH 

We shall notify you and the relevant Business without undue delay upon our becoming aware of a Personal Data Breach Data, providing the Business with sufficient information to allow such Business meet any obligations to report or inform Data Subjects of Personal Data Breach under the Data Protection Laws. We shall co-operate with you, the relevant Business (where applicable) and take reasonable commercial steps as we deem necessary to assist in the investigation, mitigation and remediation of each such Personal Data Breach.

DATA PROTECTION IMPACT ASSESSMENT AND PRIOR CONSULTATION

We shall provide reasonable assistance to you with any data protection impact assessments, which we reasonably consider to be required by the NDPR, in each case solely in relation to Processing of Data by and taking into account the nature of the Processing and information available to us.

DATA DELETION OR RETURN

Subject to this section, we will delete and arrange for the deletion of all copies of those Data as soon as possible, and in any case, within five (five) business days following the date on which the Service comprising the Processing of Data is terminated (the “Cessation Date”). Within five business days of the Cessation Date, we will give you and/or the business written proof that we have complied with this section in its entirety.

THE TRANSFER OF DATA

In this regard, we inform you and you grant us permission to transfer your data, exclusively for processing purposes, to nations outside of Nigeria. We make sure the Data are sufficiently protected when they are transported outside of Nigeria while being processed under this Agreement. Unless otherwise agreed, in order to accomplish this, we will depend on legally required obligations and rights for the transmission of such Data, as well as acknowledged industry norms.

DEVELOP, OPTIMIZE, AND UPGRADE THE SERVICE

Bee Carry Go Logistics is dedicated to improving the Service and making it better. We reserve the right to change (in whole or in part) the Service’s features and functionalities, as well as to introduce new digital content and services and discontinue old ones, as part of this continuous process. In addition, we might have to modify or stop offering the Service whole or in part in order to improve performance, maintain security, abide by legal obligations, or stop unauthorized use of our systems. All users, a subset of users, or specific users may be impacted by these changes.

In the event that the Service offers downloadable software, your preferences may determine whether or not the program updates automatically to a new version or functionality.

We will make an effort to provide you adequate notice before making any significant changes that could negatively impact how you use the Service, with the exception of urgent situations like stopping abuse, complying with legal requirements, or handling security and operational issues. It is your duty to regularly check the Agreement, which you can access through your account or email, in order to be aware of any revisions. Please don’t use the Service going forward if you disagree with the changes.

YOUR USE OF THE SERVICE

Upon registration, you are required to:

  1. a) Provide necessary data as requested for the proper functioning of the Service.
  2. b) Consent to the sharing of your data directly on the Bee Carry Go Logistics platform or via integrated third-party platforms associated with Bee Carry Go Logistics, for the operation and/or improvement of the Service, including use by affiliated businesses.
  3. c) If you are a business using the Service on behalf of your clients, ensure you have obtained appropriate authorizations from your clients to share their data for use by the Service, unless such authorizations are obtained through Bee Carry Go Logistics during client onboarding.

USER REQUIREMENTS AND CONDUCT

The Bee Carry Go Logistics platform is intended for use only by individuals who are 18 years of age or older and who can enter into legally binding contracts under applicable law. You may not authorize third parties to use your account, and individuals under the age of 18 may not receive services initiated through your account unless accompanied by you or another adult.

You are prohibited from assigning or transferring your account to any other person or entity. When using the Bee Carry Go Logistics platform, you agree to abide by all applicable laws and use the platform only for lawful purposes. Specifically, you shall not use the Bee Carry Go Logistics platform to transport, facilitate the transport of, or procure the transport of illegal or prohibited substances or items, in accordance with the Goods policy on the Bee Carry Go Logistics platform, which may be updated periodically.

In your use of the Bee Carry Go Logistics platform, you must not cause nuisance, annoyance, inconvenience, or damage to other users, service providers, or any other party. In certain circumstances, you may be required to provide proof of identity to access or use the Bee Carry Go Logistics platform, and you acknowledge that refusal to provide such proof may result in denial of access or use.

Failure to comply with the terms of this section may result in actions being taken against you, including but not limited to:

(i) Immediate, temporary, or permanent suspension of your right to use the Bee Carry Go Logistics platform.

(ii) Legal actions against you, including the recovery of all costs (including reasonable administrative and legal costs) resulting from the breach.

(iii) Disclosure of necessary information to law enforcement authorities as deemed necessary.

(iv) Immediate, temporary, or permanent removal of any content or material uploaded by you to our platform.

PROMOTIONS

Bee Carry Go Logistics may, at its discretion, offer promotions to Users or potential Users. These promotions, unless specifically offered to you, do not affect your Agreement or relationship with Bee Carry Go Logistics. Promotions may be provided to you through alphanumeric codes (“Promo Codes”). Bee Carry Go Logistics reserves the right to withhold or deduct credits or benefits obtained through a promotion if Bee Carry Go Logistics determines or suspects that the redemption of the promotion, or receipt of the credit or benefit, was erroneous, fraudulent, illegal, or violated the applicable promotion terms or this Agreement.

PROMO CODES

You agree that Promo Codes:

(i) Must be used for their intended audience and purpose, and in compliance with all applicable laws.

(ii) May not be duplicated, sold, transferred, or made available to the general public, unless expressly permitted by Bee Carry Go Logistics.

(iii) May be deactivated by Bee Carry Go Logistics at any time and for any reason without liability.

(iv) Can only be used according to the specific terms established by Bee Carry Go Logistics.

(v) Hold no cash value.

(vi) May expire before use.

(vii) Bee Carry Go Logistics may impose additional terms for specific promotions.

Bee Carry Go Logistics reserves the right to withhold or deduct credits, features, or benefits obtained through Promo Codes if it determines or suspects that the use or redemption of the Promo Code was erroneous, fraudulent, illegal, or violated the applicable terms or this Agreement.

REFERRAL PROGRAM

As part of your User Account, Bee Carry Go Logistics may provide you with a unique alphanumeric code (referred to as “Bee Code”) to distribute to friends, family, and other individuals (“Referred Users”) to join as new Users or Riders. Bee Codes are intended solely for promotional purposes and must be distributed free of charge. You are prohibited from selling, trading, or advertising Bee Codes on any digital platforms or websites, including but not limited to Google, Facebook, Twitter, Bing, Craigslist, or any other platform owned or controlled by you or any other person. Bee Carry Go Logistics reserves the right to deactivate or invalidate any Bee Code at its sole discretion. From time to time, Bee Carry Go Logistics may offer incentives for referring new Users to the Bee Carry Go Logistics platform (the “Referral Program”). These incentives may vary in type, amount, terms, restrictions, and qualification requirements, all of which are determined at the sole discretion of Bee Carry Go Logistics.

PERMISSIONS AND RESTRICTIONS

As long as you abide by this Agreement and all relevant laws, you are free to access and use the Service as it is made available to you. The Bee Carry Go Logistics platform may only be used for the objectives stated during the onboarding process. The following limitations are applicable to how you use the Service:

  1. a) It is forbidden to tamper with the license that has been issued to you. The license granted herein is a revocable, non-exclusive, non-transferable license to use the Service as specified by this Agreement within the selected territory.
  2. b) Any source code produced from the Bee Carry Go Logistics platform may not be modified, copied, adapted, distributed, displayed, published, reverse engineered, translated, disassembled, decompiled, or attempted to be created.
  3. c) Following the termination or expiration date of this Agreement, you are not permitted to use the Bee Carry Go Logistics platform, including to access any portion of the Service.
  4. d) Bee Carry Go Logistics or the relevant right holders retain any rights not specifically granted to you in this Agreement. You do not acquire any ownership rights to any part of the Service that you can access by using this service (including, but not limited to, any branding utilized or shown in the Service).

RESTRICTED ACTIVITIES

By utilizing our services and the Bee Carry Go Logistics App, you consent to refrain from:
 
 a) Take on the identity of any person or thing.
 
 b) Carry any weapons, stalk, threaten, or harass anybody (including other Service users).
 
 c) Disobey any applicable laws, rules, ordinances, permits, or statutes.
 
 d) Taint, interfere with, or hinder the Bee Carry Go Logistics App’s or the servers’ and networks’ ability to operate.
 
 e) Upload content or engage in interactions on the Bee Carry Go Logistics App that are fraudulent, imprecise, deceptive (including by leaving out or neglecting to update information), abusive, libelous, obscene, offensive, sexually explicit, threatening, harassing, or unlawful. Moreover, avoid drinking or using drugs when using the app.

  1. f) Use the Bee Carry Go Logistics App in any way that violates any third party’s rights, including but not restricted to copyrights, patents, trademarks, trade secrets, and other proprietary rights; additionally, refrain from infringing upon any rights of publicity or privacy.

    g) Upload, email, or transmit in any other way any harmful code, files, or programs intended to surreptitiously intercept or misappropriate any system, data, or personal information, or to disrupt, damage, destroy, or limit the functionality of any software, hardware, or telecommunications equipment.
     
     h) Modify identifiers in any way, such as by forging headers, in order to conceal the source of any data sent over the Bee Carry Go Logistics App.
  2. i) Without our prior written authorization, “frame” or “mirror” any portion of the Bee Carry Go Logistics App. ii) Use meta tags, codes, or other devices that reference us in order to point people to any other website.

    j) Alter, adjust, translate, decode, decompile, reverse engineer, or otherwise disassemble any part of the Bee Carry Go Logistics App or any related software.
     
     k) Utilize the Bee Carry Go Logistics App or any portion of it for rent, leasing, lending, selling, redistributing, licensing, or sublicensing access.
  3. l) Use any automated techniques to retrieve, index, scrape, “data mine,” or otherwise replicate or evade the navigation or presentation of the Bee Carry Go Logistics App and its content, including robots, spiders, site searches, retrieval applications, and other manual or automated devices or processes.

    m) Unauthorizedly link to any other website, either directly or indirectly.
     
     n) Give your password, user account, or identity to anyone else by selling it or transferring it.
     
     o) Treat someone unfairly or harass them on the basis of their race, national origin, religion, gender, gender identity, age, marital status, sexual orientation, physical or mental handicap, or medical condition.
     
     p) Unless you agree to assume liability for all damages (excluding loss) as specified in this Agreement, do not use the Service for the delivery of meals and perishables.
  4. q) Urge or inspire any other person to partake in any of the previously mentioned prohibited behaviors.

    Our representatives have the right to decline to provide you services or to stop providing them if you participate in any of the above-mentioned prohibited actions.

REPORT ABUSE
 Please report any abusive activity on the Bee Carry Go Logistics App to support@beecarrygo.com if you think someone has breached this agreement against you, experience any unwanted content on the Bee Carry Go Logistics App, or any other concerns you may have.

CYBERSECURITY REPRESENTATIONS OF THE BUSINESS SITE (APPLICABLE TO BUSINESS USERS ONLY)

You answer for the following in regards to the cybersecurity of your website as a business user:

  1. a) You think that the computers, systems, networks, hardware, software, websites, apps, and databases (collectively referred to as your “Site”) that you have for your business are sufficient for running it the way it is now running. You further warrant that there are no substantial flaws, faults, defects, Trojan horses, time bombs, malware, or other corruptants on your site, to the best of your knowledge.
  2. b) You have implemented and maintained reasonable controls, policies, procedures, and security measures to protect your confidential information and ensure the reliability, security, and continuous operation of your Site. There have been no significant breaches, violations, outages, or unauthorized access, except those resolved without substantial cost, liability, or notification requirements. There are no ongoing internal reviews or investigations related to these issues.
  3. c) You continue to comply with this Agreement’s requirements as well as all relevant laws, statutes, rulings, orders, rules, and guidelines issued by courts, arbitrators, or other governmental or regulatory bodies. This also includes adhering to contractual and internal regulations regarding the security and privacy of your website as well as safeguarding it against illegal usage, access, misappropriation, and modification.

 

 

 

YOUR DUTIES WITH REGARD TO DATA PROTECTION
 CONFIDENTIALITY RESPONSIBILITIES
 You agree that any information disclosed to you, whether verbally or in writing, regarding the creation and implementation of this Agreement is confidential. You consent to:
 a) Maintain the privacy of all such information and refrain from disclosing it to outside parties absent our express written approval.
 b) Put in place and uphold the necessary security measures to shield our private data from misuse or unauthorized access.
 c) Ensure that your staff members and professional advisors are aware of and abide by your confidentiality requirements by sharing confidential information with them only when necessary.

  1. d) The use or disclosure of private information is exempt from the confidentiality obligation:

    When it comes to legal requirements, information can also be publicly available if it was made available without the recipient’s or its employees’ fault, legally received from a third party without restrictions or a breach of confidentiality, or included in a genuine business sale as long as there is a confidentiality agreement in place between the parties that is at least as restrictive as this section.
     
     e) Any confidential information disclosed by your employees or representatives is disclosed on your behalf. This agreement’s secrecy clause shall remain in effect even if it is terminated for any reason.

OBLIGATIONS OF BUSINESSES REGARDING DATA PROTECTION (FOR BUSINESS USERS ONLY)
 In accordance with the present legal framework on data protection, as a business user, you have obligations as a Data Controller and/or Data Processor for the processing and free movement of personal data. The meanings of terminology such as “Agency,” “Controller,” “Data Subject,” “Personal Data,” “Personal Data Breach,” “Process,” and “Processing” will be interpreted in accordance with the Nigeria Data Protection Regulation (NDPR), which is currently in effect.
 
 As a Data Controller, you assign us the processing of such data by using our Service. We deal with you as a Data Processor to handle such data.

 

 

 

COMMUNICATIONS
 You consent to receiving communications from us by phone, text message, email, and push notification when you sign up as a user. You understand that, where allowed by local law, automated telephone dialing systems may produce texts, calls, or pre-recorded messages. Communications from delivery staff, Bee Carry Go Logistics, and/or its affiliates may consist of, but are not restricted to:
 
 Operational correspondence about using the Bee Carry Go Logistics App or services, or about your user account, updates on the Bee Carry Go Logistics App’s new and current features, notifications regarding promotions that we or our third-party partners are doing, updates on advancements in the sector and Bee Carry Go Logistics.

The text messages we send may be subject to standard text messaging fees from your mobile provider. Please email support@beecarrygo.com or have a look at our Privacy Policy if you would want to stop receiving text messages about promotions or marketing. By getting in touch with us, you can choose to stop receiving SMS and email messages at any time. Please contact us at support@beecarrygo.com with any questions you may have about this Agreement or our Services.

ACCOUNT SUSPENSION AND TERMINATION

TERMINATIONS BY YOU
 You can ask for the termination of your account by contacting our support team, and you can stop using the Service at any time. Your access to the Bee Carry Go Logistics App and any related services will be terminated upon termination.

TERMINATIONS AND SUSPENSIONS BY BEE CARRY GO LOGISTICS

We reserve the right to suspend or terminate your access to the Bee Carry Go Logistics Service if you violate this Agreement materially or repeatedly and do not correct the violation within fifteen days of being notified, if we have to comply with a court order or legal requirement, or if we have reasonable grounds to believe that your actions have put Bee Carry Go Logistics, our affiliates, or any user at risk of liability.

NOTICE FOR TERMINATION OR SUSPENSION

Unless we have reasonable grounds to believe that giving you notice of a termination or suspension by Bee Carry Go Logistics would violate any of the following: (a) legal requirements or law enforcement directives; (b) compromise an ongoing investigation; (c) jeopardize the integrity, operation, or security of the Service; or (d) harm any user, third party, Bee Carry Go Logistics, or our affiliates.

EFFECT OF TERMINATION OR SUSPENSION

We may deduct any outstanding costs from your payment method(s) in the event that your access to the Service is restricted or canceled, and we may also delete our data from the Service. You understand and agree that, in accordance with legal requirements, Bee Carry Go Logistics may keep records pertaining to transactions you started on the Platform after you terminate your account.

CANCELLATIONS AND REFUNDS

CANCELLATIONS
 Once you confirm using the Bee Carry Go Logistics App, Bee Carry Go Logistics will confirm and start the transaction. Choose the App’s cancel option to end a transaction. You might be charged a cancellation fee in accordance with the regulations of the Merchant or third-party provider if the Service has already begun or if the transaction involves them. The cancellation charge for services rendered by merchants or independent contractors will be in accordance with their own cancellation and refund policies.

In the event that the delivery address is outside of our service area, Bee Carry Go Logistics reserves the right to cancel your order. ii. We are unable to get in touch with you by phone or through any other means to confirm the order. iii. Prohibited, offensive, or illegal content are involved in the transaction. iv. The given details, guidelines, or permissions are inadequate or missing important information. v. There is no longer a merchant outlet. vi. The merchant says the item you ordered is out of stock. vii. For reasons outside of our control, the transaction cannot be completed.

REFUNDS

Only in cases where you have paid in advance for the services can you ask for a refund. The merchant’s refund policy governs refunds, which are subject to the following considerations: i. Bee Carry Go Logistics, in our sole discretion, decided that your package had been tampered with or destroyed during delivery. Meals and perishables are exempt from this since they can only be refunded in the event that they are lost. ii. The item that was delivered does not correspond with the one you requested using the Bee Carry Go Logistics App. iii. For the previously stated reasons, Bee Carry Go Logistics has canceled the order.

Depending on the service, Bee Carry Go Logistics and the Merchant will decide whether to issue a refund. The original payment method used for the transaction on the Bee Carry Go Logistics App will be used to process all refunds.

RETURN OF GOODS

Fresh returned orders must be picked up from the Bee Carry Go Logistics Pick-Up Centers within four days after being notified by email, phone, or SMS. The order will be returned to Bee Carry Go Logistics’ warehouse if it is not picked up within this time frame. Bee Carry Go Logistics will charge 1/3 of the delivery price for each day the goods are left in the warehouse after four days of notice if the item is still unclaimed. Both the User and the relevant Merchant or restaurant partner must face any loss, including the actual cost of products and any resulting direct or indirect losses, for Meals and Perishables that cannot be delivered by an assigned Rider for reasons other than loss.

 

COMPLAINTS

Within a day of the order’s completion, Bee Carry Go Logistics must receive any complaints about defective products, delayed deliveries, or missing things. You can file complaints by sending an email to support@beecarrygo.com, calling our registered office, or sending us a letter. If a complaint is not filed within the allotted time, it will be deemed foreclosed, and subsequent objections over the same order won’t be accepted.

ACCOUNT DISABLE 
 Send an email to support@beecarrygo.com with the subject “Please delete my account” to request that your account be deleted. When we receive your request, we will remove all related personal data relating to your usage of the service, as well as the account linked to the email address you used to submit the request. Please be aware that some data may be permanently lost if you decide to delete your account. The conditions mentioned in the sections above about data destruction or return will also apply to this procedure.

DISCLAIMERS; LIMITATION OF LIABILITY; INDEMNITY

DISCLAIMERS

THE BEE CARRY GO LOGISTICS APP AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BEE CARRY GO LOGISTICS DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, NOT SPECIFICALLY SET OUT IN THIS AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FURTHERMORE, BEE CARRY GO LOGISTICS MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE APP, SERVICES, OR ANY OTHER SERVICES REQUESTED THROUGH THE USE OF THE BEE CARRY GO LOGISTICS APP, OR THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE. BEE CARRY GO LOGISTICS AND ITS AFFILIATES DO NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY, OR ABILITY OF PERSONS PROVIDING SERVICES. YOU AGREE THAT YOU ASSUME THE ENTIRE RISK ARISING FROM YOUR USE OF THE BEE CARRY GO LOGISTICS APP AND SERVICES, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

The behavior of any user, merchant, mobile provider, or other third party, whether online or offline, is not the responsibility of Bee Carry Go Logistics or its affiliates. While dealing with other users, merchants, or any other third party, you are urged to use prudence and good judgment.
 We are not liable for your personal property, nor are we required to obtain insurance for it. This covers loss or damage to personal property resulting from: (i) snatching or theft; (ii) leaving items in cars or unattended; or (iii) merchants (or their authorized staff) fulfilling delivery requests made through the Bee Carry Go Logistics App. It is recommended that you safeguard your personal property and never leave it unattended, even when you are at home or on other premises seeking services from businesses or their employees.
 
 You acknowledge that there are dangers associated with using the Bee Carry Go Logistics App and agree that Bee Carry Go Logistics is not liable for the deeds or inactions of users, merchants, mobile operators, or any other third party.

You understand that Bee Carry Go Logistics might be able to help you with insurance through its own coverage. Should this type of coverage be relevant, you consent to supplying the required information or records in order to handle any insurance claims. You acknowledge that Bee Carry Go Logistics is not acting as a broker and makes no guarantees, warranties, or assurances in connection with such coverage, and that you take such insurance service benefits at your own risk.
 
 You specifically release Bee Carry Go Logistics and its affiliates from any liability resulting from someone else using your user account without authorization. You promise to contact us right away if you believe someone else is using your account without authorization or if you believe there has been a security breach.

The Bee Carry Go Logistics App’s location data is only meant to be used for basic location purposes; it should not be depended upon in circumstances where precise location information is needed or where mistakes, inaccuracies, or incomplete location data could cause environmental harm, property damage, fatalities, or other negative outcomes. Location data monitored or presented by the Bee Carry Go Logistics App is not guaranteed to be available, accurate, complete, reliable, or timely by Bee Carry Go Logistics, its affiliates, or any of its content providers. Bee Carry Go Logistics may have access to any information you upload, give, or post on the Bee Carry Go Logistics App, including geolocation data.

INSURANCE FOR GOODS IN TRANSIT
 As of the Agreement’s date, all qualified goods delivered by Bee Carry Go Logistics service will be insured against losses during transit for a maximum of N150,00, subject to the terms and conditions of the insurance policy and its procedures, as well as any other pertinent insurance-related clauses specified in this Agreement.

WARNING REGARDING THE DELIVERY OF PERISHABLES, MEALS, AND MEDICAL SUPPLIES:
 When you receive goods or medications as part of the services offered through the Bee Carry Go Logistics platform, you agree that, unless otherwise specified, all products—including but not limited to meals, perishables, and medical supplies—made available through Bee Carry Go Logistics are supplied and delivered by independent third-party providers who have no connection to Bee Carry Go Logistics. You acknowledge that there is risk involved in buying such products, including the possibility of negative side effects from using them.

The quality or accuracy of the products offered by these independent third-party goods providers cannot be verified by Bee Carry Go Logistics. It is highly recommended that you speak with your physician before purchasing any medication or taking any prescriptions. The authenticity of any medical claims, including but not limited to the expiration date provided by the third-party products source distributing medication via our network, is not guaranteed by Bee Carry Go Logistics. Bee Carry Go Logistics is not the manufacturer or distributor of any of the products it makes available; rather, independent third-party goods service providers transport all products.

Bee Carry Go Logistics does not assume liability for any damage arising from using any product descriptions or instructions linked to on the platform. No manufacturer of medications, meals, perishables, or other things listed is connected to Bee Carry Go Logistics. We do not guarantee that the products we provide will fulfill your needs.
 
 Before buying or ingesting any medication, meals, or perishables, it is imperative that you see a physician to fully understand the indications, side effects, drug interactions, and consequences of missing or overdosing on any products ordered through Bee Carry Go Logistics.

RESTRICTIONS FROM LIABILITY
 Bee Carry Go Logistics disclaims all liability to the maximum extent allowed by applicable law, including but not limited to: a) losses not attributable to breach of this agreement; b) loss or damage not reasonably foreseeable at the time this agreement was formed; or c) loss of profits, revenue, data, or anticipated savings; loss of opportunity; indirect or consequential losses; or punitive damages (whether or not such losses were foreseeable).
 
 Notwithstanding anything to the contrary in this Agreement, neither Party shall be liable for any indirect, special, or consequential damages.

ARISING FROM, CONNECTED TO, OR RELATED TO THE USE OF THE BEE CARRY GO LOGISTICS PLATFORM OR SERVICES, BEE CARRY GO LOGISTICS, ITS AFFILIATES, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, PERSONAL INJURY, OR PROPERTY DAMAGE. THIS IS EVEN IF BEE CARRY GO LOGISTICS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. The following situations will not subject Bee Carry Go Logistics, its affiliates, or its partners to liability: (i) your use of or reliance on the platform or services, or your inability to access or use the platform or services; or (ii) any conversations, exchanges, or deals you have with a service provider or other third party, even in cases where Bee Carry Go Logistics or its affiliates have been informed that such damages may occur. There shall be no liability against Bee Carry Go Logistics, its affiliates, or its partners for any delays or failures resulting from events outside of our control. You understand that service providers might not always hold a professional license or certification.

The fees you paid for the relevant service, or an equivalent amount in another currency, shall not, in any case, exceed Bee Carry Go Logistics’, its affiliates’, or its partners’ total liability for all damages, losses, or causes of action.
 
 APART FROM WHAT IS EXPRESSLY STATED IN THIS AGREEMENT, YOU AGREE THAT BEE CARRY GO LOGISTICS, ITS AFFILIATES, MERCHANTS, AND PARTNERS ARE NOT RESPONSIBLE OR LIABLE FOR ANY SERVICES PROVIDED BY THIRD-PARTY SERVICE PROVIDERS. YOU CAN USE THE BEE CARRY GO LOGISTICS PLATFORM TO REQUEST AND ARRANGE SERVICES. YOUR LEGAL RIGHTS THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW ARE UNAFFECTED BY THESE LIMITATIONS.

INDEMNITY
 In the event that any of the following occur or are connected to: (i) your use of the Bee Carry Go Logistics platform and the services, or any goods or services obtained through the platform; (ii) your breach or violation of this Agreement or unauthorized use of the services in violation of this Agreement; or (iii) your infringement on the rights of any third party, including workers engaged in providing the services or using the Bee Carry Go Logistics platform, you agree to indemnify and hold Bee Carry Go Logistics, its affiliates, partners, merchants, and their officers, directors, employees, and agents harmless from any claims, demands, losses, damages, liabilities (including regulatory and legal responsibilities), and expenses (including legal fees).

WARRANTY

WE UTILIZE SUFFICIENT CAUTION AND COMPETENCE IN PROVIDING THE SERVICE.

PARTNERSHIPS TO EXTERNAL PARTIES
 Links to third-party websites, middleware, and services that are not owned or controlled by Bee Carry Go Logistics—including those run by independent companies—may be found on the platform. Regarding these third-party websites, middleware, or services, Bee Carry Go Logistics disclaims all accountability for their acts, content, or services. When you depart from our platform, please use caution when navigating. We advise you to go over the terms and privacy policies of any websites, middleware, or services that you use that are operated by third parties.

SEVERANCE
 The remaining conditions of this Agreement will remain valid and enforceable even if any provision is determined to be unenforceable for any reason.
 ASSIGNMENT
 In the case of a Bee Carry Go Logistics sale or merger, we may assign or transfer all or part of this Agreement to a third party or affiliate. This Agreement may not be transferred or assigned to any other party.
 VOID WAIVER
 This Agreement does not constitute a waiver of Bee Carry Go Logistics’ rights, and we shall be free to enforce this Agreement in the future if you violate any portion of it and we do not take immediate legal action.

 

 

FORCE MAJEURE

Neither you nor Bee Carry Go Logistics will be liable for delays or failures in performance due to events beyond our control, such as fires, war, civil unrest, natural disasters, terrorism, labor disputes, power failures, epidemics, or other similar occurrences. The affected party must make reasonable efforts to mitigate the impact and promptly notify the other party. Performance deadlines will be extended for the duration of the delay. If the incapacity lasts over two (2) months, we will discuss a resolution. If no satisfactory resolution is reached, Bee Carry Go Logistics may terminate the Agreement.

PREVENTING SOLICITING EMPLOYEES

Neither party shall, directly or indirectly, solicit or offer employment to the other party’s employees during the term of this Agreement or for eighteen (18) months after its termination. If this clause is breached, the defaulting party must pay an amount equal to eighteen (18) months of the affected employee’s last month’s remuneration as a pre-estimate of damages.

ELECTRONIC ACCEPTANCE OF TERMS
 Clicking “Accept” and continued use of the Bee Carry Go Logistics service will be considered as a legal signature of this Agreement and will be binding.

NO AGENCY
 This Agreement does not create an agency, joint venture, partnership, or employment relationship between the parties. Neither party has the authority to bind the other in any way.

NOTICES
 Notices must be in writing and sent electronically to the email addresses provided by both parties.

CLAIMS OF IP INFRINGEMENT OR COPYRIGHT
 Please send an email to legal@beecarrygo.com to report copyright violations or other intellectual property infringement. Written submissions of claims must contain the following:

  1. a) information about the specific intellectual property that is being infringed upon;
  2. b) a description of the location and content of the infringing material on the Bee Carry Go Logistics platform;
  3. c) a declaration that the use of the identified material is not permitted by the owner of the intellectual property or by law;
  4. d) your contact details, such as your address, phone number, and/or email;
  5. e) a statement attesting to the correctness of your claim and proving that you are the owner of the intellectual property or an authorized agent;

and

  1. f) your printed or digital signature.
    Your access to the Bee Carry Go may be terminated if you make false claims.

NOTICES

Bee Carry Go Logistics may provide notices via a general announcement on the Bee Carry Go Logistics platform, by email to the address associated with your account, or by written communication sent to the address listed in your account. You may send notices to Bee Carry Go Logistics via email at legal@beecarrygo.com.

GENERAL

Without Bee Carry Go Logistics’ prior written authorization, you are not permitted to assign or transfer any of your rights under this agreement. Bee Carry Go Logistics is able to assign or transfer its rights and duties to any of the following parties:

  1. a subsidiary or affiliate;
  2. (ii) a party that purchases its stock, operations, or assets; or
  3. (iii) a party that merges with it. You and Bee Carry Go Logistics, or any service staff, do not enter into any joint venture, partnership, employment, or agency relationship as a result of this Agreement.

The remaining terms of this Agreement will still be in force even if any of the terms are determined to be unlawful, void, or unenforceable. The parties shall substitute a lawful clause that substantially achieves the intended purpose for the invalid one. All previous agreements on the subject matter are superseded by this Agreement, which represents the parties’ entire and exclusive understanding of one another.

GOVERNING LAW
 This Agreement and your relationship with Bee Carry Go Logistics will be governed by Nigerian Law. Any unresolved disputes between you and us will be settled through binding arbitration, not in court, in line with the Arbitration & Conciliation Act. Arbitration will take place through the Lagos State Multi Door Court House (MDCH), based on written submissions, and conducted via phone or electronic means. The arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.

Both parties agree that any dispute resolution will occur individually, not as part of a class action or representative proceeding. Should arbitration be bypassed for court proceedings, we will only proceed on an individual basis. Interim court action for injunctive relief to protect rights or property is allowed. Improperly filed claims may result in recovery of attorneys’ fees up to N5,000,000, provided we notify you in writing beforehand.

By entering into this Agreement, you waive the right to a jury trial or class action. If this section is deemed unenforceable, the entire dispute resolution section will be void, except as otherwise specified.
